LAW - 885C Transactional Drafting 2 unit(s) In this course, students will develop fundamental transactional skills inherent in all areas of law practice through negotiating, designing, drafting, and evaluating agreements, licenses, and leases. Students will study and learn: the components of agreements; the proper use of forms and boilerplate terms; how to draft precisely; how to design a deal; the importance of and how to conduct due diligence; and negotiation tactics and ethics. Working individually and in teams, students will evaluate and critique language and provisions in a range of contracts, research applicable law to ensure enforceability of key provisions, draft due diligence and deal design memos, and negotiate and draft agreements and licenses. This course counts toward completion of the Upper Division Writing Requirement.
